1. Scope and Applicability #
1.1 These terms (the “Netgraph Service Terms”) govern Your access to, and use of, Netgraph Services and incorporate any Supplemental Terms and Offer Descriptions applicable to Your Order.
1.2 You agree to these terms by accessing or using a Netgraph Offer, or by finalizing Your Order. By accessing the service, you represent that you are authorized to act on behalf of the Customer.
2. Use Rights #
2.1 License and Right to Use. Netgraph grants You, for Your direct benefit, a non-exclusive:
(a) license to use Netgraph Content; and
(b) right to use Subscription Offers,
in accordance with Your Order or as otherwise agreed in writing (collectively, the “Use Rights”). Your Use Rights are non-transferable.
2.2 Limits on Usage. You may not:
(a) transfer, sell, sublicense, monetize, or provide the functionality of any Netgraph Service to any third party, except as authorized by Netgraph;
(b) remove, change, or conceal any product identification, copyright, proprietary, intellectual property notices, or other marks from any Netgraph Service;
(c) reverse engineer, decompile, decrypt, disassemble, modify, or make derivative works of Netgraph Services; or
(d) use Netgraph Content other than as reasonably needed to exercise Your Use Rights.
2.3 Acceptable Use. You will ensure Your access or use of Subscription Offers does not:
(a) violate applicable laws or the rights of any third party; or
(b) impede or interfere with the security, stability, availability, or performance of any Netgraph Service (e.g., denial-of-service attacks, penetration testing, or distribution of malware).
2.4 Suspension. Netgraph may suspend Your access to the Subscription Offers if it reasonably believes that You or an Authorized User have materially breached sections 2.2 (Limits on Usage) or 2.3 (Acceptable Use).
2.5 Use by Third Parties. If You permit Authorized Users to access Netgraph Services on Your behalf:
(a) You will ensure all Authorized Users comply with these terms; and
(b) You are responsible for any breach of these terms by an Authorized User.
2.6 Interoperability Requirements. If required by law, Netgraph will promptly provide the information You request to achieve interoperability between applicable Netgraph Services and another independently created program on terms that reasonably protect Netgraph’s proprietary interests.
2.7 Changes to Subscription Offers. Netgraph may change its Subscription Offers, typically to enhance them or add features. These changes will not materially reduce the core functionality of the affected Subscription Offers during the Use Term.
2.8 Maintaining Subscription Offers. Netgraph may perform maintenance which may disrupt performance or availability. Netgraph will provide advance notice of planned maintenance when reasonably possible and will take reasonable steps to minimize disruption during emergency maintenance.
3. Free Trials #
3.1 Accessing Free Trials. Your Approved Source may allow You to access Netgraph Services on a trial, evaluation, beta, or other free-of-charge basis (“Free Trial”). You may use the Free Trial only for the specified period (“Free Trial Period”) or, if not specified, for up to 60 days. Free Trials may be incomplete, unsupported, or contain errors and must not be used in production unless agreed in writing.
3.2 Ending Free Trials. At the end of a Free Trial, You will promptly discontinue use of the Netgraph Services. Free Trials may be changed or terminated at the discretion of the Approved Source with reasonable notice.
3.3 Continued Use and Disclaimer.
(a) Continued use after a Free Trial Period may incur fees.
(b) Free Trials are provided “AS-IS” without warranties, unless required by law.
4. End of Life #
4.1 Notification. Netgraph may end-of-life services with notice via Release Notes or Feature Sunset communications.
4.2 Pre-paid Cloud Service. If a prepaid service is discontinued before the end of the Use Term, Netgraph will either:
(a) provide a comparable alternative; or
(b) credit unused fees.
5. Paying Your Approved Source #
You will pay all applicable fees to Your Approved Source, including usage-based charges.
6. Privacy and Security #
6.1 Respect for Your Data. Netgraph respects Your Data and will process and store Data in accordance with the applicable Data Processing Agreement (“DPA”), including the Netgraph Data Processing & Privacy Annex.
Additional details regarding personal data processing may be described in the Netgraph Data Privacy Sheet, which serves as a supporting and non-binding document.
6.2 Data Processing and Security. If Netgraph processes Personal Data or Customer Content, Netgraph will process such data in accordance with:
(a) the applicable Data Processing Agreement (“DPA”);
(b) the Netgraph Data Processing & Privacy Annex (including Annex I–IV);
(c) applicable privacy and data protection laws.
Where Netgraph acts as a Sub-processor, Netgraph processes Personal Data solely on documented instructions from You, acting as a Data Processor.
6.3 Roles of the Parties. The parties acknowledge that:
(a) You act as:
(i) a Data Controller; or
(ii) a Data Processor on behalf of Your end customers;
(b) Netgraph acts as:
(i) a Data Processor where services are provided directly to You; or
(ii) a Sub-processor where You act as a Data Processor.
6.4 Sub-processors. You authorize Netgraph to engage sub-processors as described in the Netgraph Data Processing & Privacy Annex.
Netgraph shall ensure that all sub-processors are subject to data protection obligations equivalent to those set out in the DPA and shall remain responsible for their performance.
6.5 Your Responsibility. You are responsible for:
(a) ensuring that Your use of Netgraph Services complies with applicable privacy and data protection laws;
(b) informing data subjects of the processing of their Personal Data;
(c) obtaining any required consents or establishing another lawful basis for processing;
(d) configuring retention settings and optional data collection in accordance with applicable laws.
Where You act as a Data Processor, You are responsible for ensuring that Your agreements with Your end customers permit the use of Netgraph as a Sub-processor.
Where You provide services to end customers, You are solely responsible for Your relationship with such end customers, including entering into any required data processing agreements and fulfilling all obligations as Data Controller or Data Processor, as applicable.
7. Ownership of Intellectual Property #
7.1 Ownership Rights. Ownership remains with each party respectively. You retain Customer Content, and Netgraph retains all rights to its Services and Content.
7.2 Feedback. Netgraph may use feedback without restriction.
8. Definitions #
Affiliate: Any corporation or company that directly or indirectly controls, is controlled by, or is under common control with the relevant party, where “control” means to: (a) own over 50% of the relevant party; or (b) be able to direct the affairs of the relevant party through voting rights or other lawful means (e.g., a contract that allows control).
Approved Source: Netgraph, a Netgraph Partner, or a fulfillment agent (e.g., public cloud marketplaces) as may be appointed by Netgraph from time to time.
Authorized Users: Your users, including Affiliates, Your third-party service providers, and each of their respective Users.
Netgraph, we, our or us: Netgraph Sverige AB or its applicable Affiliates.
Netgraph Content: Systems information and data, materials, or other content provided by Netgraph directly or through Your Approved Source to You as part of Your access to Netgraph Offers.
Netgraph Offer: Netgraph-branded (a) Use Rights in Netgraph Services, (b) technical support included in a Subscription Offer, and (c) incidental technology and resources.
Netgraph Partner: A Netgraph authorized reseller, distributor, systems integrator, or other third party authorized by Netgraph to sell Netgraph Services.
Netgraph Service(s): An on-demand service provided by Netgraph accessible via the internet and provides services on an ‘as-a-service’ basis as described in the applicable Service Description.
Confidential Information: Non-public proprietary information of the discloser obtained by the recipient in connection with these terms, which: (a) is conspicuously marked as confidential if written or clearly stating the information is confidential when (or promptly after) it is verbally disclosed; or (b) is information which by its nature should reasonably be considered confidential whether disclosed in writing or orally.
Customer Content: As defined in the Data Brief for Customer Content.
Data: Personal Data, Customer Content, and Systems Information.
Data Briefs: Documents describing each type of Data (e.g., Personal Data, Customer Content, and Systems Information) that Netgraph Services collect, how it is collected, and when it is used, available at the Netgraph Docs webpage.
Data Processing Agreement (DPA):
The agreement governing the processing of Personal Data between You and Netgraph, including any applicable Standard Contractual Clauses.
Data Processing Terms:
Netgraph’s data processing terms set out in the Data Processing Agreement (“DPA”), including the Data Processing & Privacy Annex, or other terms agreed between You and Netgraph covering the same scope.
Data Processing & Privacy Annex:
The document describing the processing of personal data, including Annex I–IV, forming an integral part of the applicable Data Processing Agreement.
Documentation: The technical specifications and use materials officially published by Netgraph specifying the functionalities and capabilities of the applicable Netgraph Services as updated from time to time.
Free Trial: As defined in section 3.1 (Accessing Free Trials).
Free Trial Period: As defined in section 3.1 (Accessing Free Trials).
Malicious Code: Code designed or intended to disable or impede the normal operation of, or provide unauthorized access to, networks, systems, software, or cloud services other than as intended by the Netgraph Service.
Service Description: A document published by Netgraph as a “Service Description” that provides additional information specific to a Netgraph Service, available via the Netgraph Docs webpage.
Order: The transaction through which You acquire a Netgraph Offer from an Approved Source, including through purchasing and ordering documents, signing an agreement or statement of work, or transacting through an online ordering tool or marketplace.
Personal Data: Any information relating to an identified or identifiable natural person, including any information that can be linked to an individual or used to identify an individual directly or indirectly.
Privacy Data Sheet:
The privacy data sheet applicable to Netgraph Services, available via the Netgraph Docs webpage, providing additional and descriptive information regarding personal data processing.
Service Level Agreement: The service level agreement applicable to a Subscription Offer (if applicable) as set out in the applicable Offer Description.
Subscription Offer: Netgraph Offers provided on a subscription basis under Your Order.
Supplemental Terms: Any additional terms applicable to Your Order.
Use Term: The period during which You may exercise Use Rights in the Netgraph Services under Your Order.
Use Rights: As set out in section 2.1.
You, Your / Customer: The individual or legal entity acquiring access to Netgraph Services and acting as the contracting party to these Service Terms, either as a Data Controller or as a Data Processor on behalf of its end customers.
